Free Cloud Hosting Policy

Effective Date: September 29, 2026
Last Updated: September 29, 2026

At DGMentors, we are committed to providing continued technical support and infrastructure assistance to clients whose applications, websites, software, platforms, systems, or other digital solutions have been developed by DGMentors and for whom an ongoing maintenance retainer has been subscribed. As part of this continued relationship, and subject to the terms and conditions described in this policy, DGMentors may provide eligible clients with complimentary cloud-based hosting for the applicable application or system throughout the period during which the relevant maintenance retainer remains active and in good standing.

This Free Cloud Hosting Policy (“Policy”) establishes the conditions under which such complimentary hosting may be provided, the responsibilities associated with the hosted environment, circumstances in which access may be restricted or suspended, and the manner in which hosting arrangements may be concluded when the applicable maintenance relationship comes to an end.

1. Eligibility for Complimentary Hosting

Complimentary cloud-based hosting is intended specifically for applications, websites, software, platforms, systems, or other digital solutions that have been developed by DGMentors and for which the client has an active maintenance retainer subscribed to with DGMentors.

Accordingly, the free hosting benefit is generally available only where both of the following conditions are satisfied:

1. The applicable application, website, software, platform, or system was developed by DGMentors; and
2. The client maintains an active and applicable maintenance retainer with DGMentors covering the relevant application, website, software, platform, or system.

The complimentary hosting benefit is therefore an extension of the ongoing maintenance relationship and should not be interpreted as a separate, independent, perpetual, or lifetime hosting commitment.

Applications, websites, software, systems, or other digital products developed entirely by third parties are not ordinarily eligible for complimentary hosting under this Policy unless DGMentors expressly agrees to provide such hosting in writing.

2. Nature of the Complimentary Hosting Benefit

Where a client satisfies the eligibility requirements, DGMentors may provide cloud-based infrastructure necessary to host and operate the applicable application or system without charging a separate hosting fee during the active period of the applicable maintenance retainer.

The complimentary nature of this hosting arrangement is intended to provide additional value to clients who maintain an ongoing technical relationship with DGMentors and is offered as part of that relationship rather than as a standalone commercial hosting package.

The specific infrastructure, architecture, capacity, configuration, storage, processing resources, and other technical characteristics of the hosting environment may vary according to the requirements of the application or system, its expected usage, its technical architecture, security requirements, traffic levels, storage requirements, and other factors that DGMentors may reasonably consider relevant.

3. Third-Party Cloud Hosting Infrastructure

The complimentary hosting provided under this Policy may be delivered through third-party cloud hosting providers, infrastructure providers, data centers, networking providers, storage providers, software platforms, or other external technology providers selected or utilized by DGMentors.

DGMentors may configure, administer, monitor, and manage the relevant hosting environment, but the underlying physical and/or cloud infrastructure may remain owned, operated, controlled, or maintained by one or more third-party providers.

Accordingly, the availability, performance, security, storage integrity, network connectivity, hardware, virtualization layer, data-center operations, backup infrastructure, and other underlying components of the hosting environment may depend upon systems and services outside DGMentors’ direct control.

DGMentors will make reasonable efforts to use appropriate third-party infrastructure and to manage the hosted environment responsibly; however, DGMentors does not guarantee the uninterrupted availability, continued operation, security, performance, or preservation of data within third-party hosting infrastructure.

4. Scope of Hosting Services

Depending upon the nature and technical requirements of the applicable application or system, complimentary hosting may include, where reasonably appropriate:

* Cloud server or application hosting;
* Database hosting;
* Cloud storage;
* Network and infrastructure resources;
* SSL configuration;
* Basic server administration;
* Hosting environment configuration;
* Routine infrastructure maintenance;
* Basic monitoring and technical administration; and
* Other infrastructure-related services reasonably necessary to operate the applicable application or system.

The precise scope of infrastructure services may differ between projects, and DGMentors reserves the right to determine an appropriate hosting configuration based upon the technical requirements and reasonable operational needs of the hosted application or system.

5. Duration of Complimentary Hosting

Complimentary hosting is provided **for the duration of the applicable active maintenance retainer** and remains subject to the client’s continued compliance with the applicable service agreement, Terms of Service, this Policy, and any other relevant DGMentors policies.

The provision of free cloud hosting during a maintenance retainer does not establish any obligation on the part of DGMentors to provide free hosting indefinitely, after the maintenance relationship has ended, or independently of the applicable maintenance services.

Where the maintenance retainer is cancelled, expires, is terminated, or otherwise ceases to remain active, the complimentary hosting benefit will generally cease following a reasonable transition period, subject to the circumstances and any separate written agreement applicable to the client or project.

6. Client Ownership and Administrative Access

The provision of complimentary hosting does not, by itself, transfer ownership of the client’s application, website, system, software, content, data, or other client-owned materials to DGMentors.

Unless otherwise expressly agreed in writing, the client retains its applicable ownership rights in client-owned materials.

DGMentors may nevertheless maintain administrative, technical, or infrastructure-level access to the hosted environment to the extent reasonably necessary to operate, maintain, secure, monitor, troubleshoot, update, modify, protect, or otherwise support the hosted application or system.

7. Reasonable Resource Usage

Complimentary hosting is intended to support the normal and reasonable operation of the application or system for which the maintenance retainer was established and is not intended to provide unlimited infrastructure resources for unrelated applications, services, activities, users, data, or workloads.

Where an application or system experiences substantial increases in traffic, storage requirements, processing requirements, bandwidth consumption, database usage, or other infrastructure demands that materially exceed the resources reasonably anticipated when the hosting arrangement was established, DGMentors may review the hosting environment and discuss appropriate infrastructure adjustments with the client.

Where additional infrastructure creates material third-party or operational costs, DGMentors may require a separate agreement or adjustment before providing resources beyond the reasonable scope of the complimentary hosting arrangement.

Our general intention in such circumstances will be to communicate the situation with the client and seek a practical solution wherever reasonably possible.

8. Maintenance, Monitoring, and Infrastructure Management

In connection with the provision of complimentary hosting, DGMentors may perform infrastructure maintenance, configuration changes, software updates, security measures, monitoring, migrations, troubleshooting, backups, performance adjustments, or other technical activities that DGMentors reasonably determines are necessary or advisable for the continued operation, security, stability, or maintenance of the hosted application or system.

Such activities may, on occasion, result in temporary interruptions, reduced availability, changes in configuration, or other short-term effects on the hosted environment.

Where reasonably practical, DGMentors will seek to minimize disruption and, where circumstances permit, provide advance notice of planned maintenance that is expected to materially affect availability.

9. Data Loss, Backups, and Recovery

Because complimentary hosting may rely upon third-party cloud infrastructure and external technology providers, DGMentors cannot guarantee the preservation, availability, integrity, or recoverability of any data, files, databases, configurations, accounts, application content, or other information stored within the complimentary hosting environment.

While DGMentors may, depending upon the applicable maintenance service and technical configuration, implement reasonable backup, monitoring, security, or recovery measures, such measures are provided as a reasonable precaution and do not constitute a guarantee against data loss.

Data may potentially be lost, corrupted, damaged, altered, become inaccessible, or otherwise be affected as a result of hardware failure, software failure, human error, cyber incidents, security events, configuration errors, infrastructure failure, third-party provider failure, network disruption, maintenance activities, application defects, database corruption, accidental deletion, or circumstances beyond DGMentors’ reasonable control.

To the maximum extent permitted by applicable law, DGMentors shall not be responsible or liable for any loss, corruption, deletion, alteration, unavailability, or inability to recover data arising from or relating to the complimentary hosting service or the third-party infrastructure used to provide it.

Clients are therefore strongly encouraged to maintain their own independent and current backups of important data, files, databases, application content, configurations, and other information, particularly where such information is commercially, operationally, legally, or otherwise important to the client.

10. Availability and Service Interruptions

DGMentors will make reasonable efforts to maintain the availability and operational integrity of applications and systems hosted under this Policy; however, cloud infrastructure and Internet-based services inherently depend upon numerous technical components, networks, data centers, software systems, third-party infrastructure providers, telecommunications services, and other technologies that may occasionally experience outages, failures, maintenance requirements, security incidents, capacity limitations, or other disruptions beyond DGMentors’ direct control.

Accordingly, complimentary hosting is provided without a guarantee of uninterrupted, continuous, completely error-free, or permanently available service.

Where a hosting-related issue occurs, DGMentors will make reasonable efforts to investigate the issue and, where within its reasonable control, take appropriate steps toward restoring or improving the affected service.

11. Prohibited and Illegal Activities

DGMentors maintains a strict policy against the use of its hosting infrastructure, systems, applications, networks, servers, storage, or other technology resources for **illegal, unlawful, fraudulent, abusive, malicious, or unauthorized activities of any kind**.

No client may use, permit, facilitate, or knowingly allow the hosted environment to be used for activities that violate applicable federal, state, local, or international laws or regulations, or for activities that could reasonably expose DGMentors, its infrastructure providers, employees, contractors, clients, or other users to legal, regulatory, financial, security, or operational risk.

Prohibited activities include, without limitation, using the hosting environment to facilitate fraud, unauthorized access, distribution of malicious software, hacking, unauthorized surveillance, unlawful data collection, distribution of illegal material, infringement of third-party rights, attacks against other systems, abuse of network resources, or any other activity that is unlawful or expressly prohibited by applicable law.

Where DGMentors becomes aware of information, evidence, activity, or circumstances that reasonably establish that an application, system, account, hosting environment, or associated service is being used for an illegal activity, **DGMentors reserves the right to immediately suspend the affected hosting service, application, system, account, or associated infrastructure without waiting for the conclusion of a court proceeding or other formal legal determination**, particularly where immediate action is reasonably necessary to protect the infrastructure, DGMentors, other clients, third parties, or the public from continued harm, exposure, or legal or security risk.

Where appropriate and reasonably possible, DGMentors may provide notice regarding the suspension and may request clarification or supporting information from the client; however, where the circumstances involve an apparent or reasonably established illegal activity, security threat, malicious conduct, or material risk to the hosting environment, the need to protect the infrastructure and prevent continued misuse may take priority over advance notice.

Nothing in this section limits DGMentors’ ability to cooperate with lawful requests from governmental, regulatory, judicial, or law-enforcement authorities where such cooperation is required or reasonably appropriate.

12. Security and Acceptable Use

Clients are expected to use the hosted environment responsibly and in a manner consistent with applicable laws, these Terms, this Policy, and reasonable security practices.

Clients must not attempt to gain unauthorized access to DGMentors’ infrastructure or another user’s information, interfere with the availability or performance of hosted systems, introduce malicious code, exploit vulnerabilities for unauthorized purposes, conduct attacks against external systems, or otherwise use the hosting environment in a manner that could compromise its security, integrity, reliability, or availability.

Where DGMentors reasonably determines that an activity presents a material security risk, operational risk, legal risk, or threat to the hosting environment, DGMentors may take proportionate protective measures, including restricting access, disabling affected functionality, isolating an affected system, or temporarily suspending hosting while the circumstances are reviewed and addressed.

13. Third-Party Provider Limitations

Because the complimentary hosting service may rely upon third-party infrastructure, DGMentors cannot guarantee that third-party providers will remain available, maintain particular service levels, preserve particular infrastructure configurations, maintain specific pricing, or remain compatible with the application or system indefinitely.

Changes, outages, failures, service discontinuations, security incidents, policy changes, infrastructure migrations, or other actions by a third-party provider may affect the hosted application or system.

DGMentors will make reasonable efforts to address material issues that are within its reasonable control; however, DGMentors shall not be responsible for failures, interruptions, losses, or damages caused primarily by third-party infrastructure or services, to the maximum extent permitted by applicable law.

14. Suspension for Non-Payment or End of Retainer

Because complimentary hosting is provided in connection with an active maintenance retainer, DGMentors may suspend or discontinue the complimentary hosting benefit where the applicable maintenance retainer has ended, been cancelled, expired, or otherwise ceased to remain active.

Hosting may also be suspended where applicable maintenance fees remain unpaid, where the client materially violates the Terms of Service or this Policy, or where suspension is reasonably necessary to protect the security or integrity of the hosting environment.

Where circumstances permit, DGMentors will seek to provide reasonable notice before ordinary suspension resulting from the end of a maintenance relationship; however, **immediate suspension may occur where required because of illegal activity, security threats, malicious activity, serious abuse, or other circumstances requiring immediate protective action.**

15. Transition Following Termination

When complimentary hosting is scheduled to end, DGMentors will generally seek to provide a reasonable opportunity for the client to make alternative hosting arrangements.

Where agreed, DGMentors may assist with migration of the application or system to another hosting provider as a separate service or under other agreed terms.

If the client does not make alternative arrangements within the applicable transition period, DGMentors may suspend and ultimately discontinue the hosting service after providing reasonable notice, subject to applicable law and any separate agreement governing the particular project.

The discontinuation of hosting does not, by itself, transfer ownership of client-owned applications, systems, content, data, or other materials to DGMentors.

16. Limitation of Liability

To the maximum extent permitted by applicable law, DGMentors shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, files, databases, application content, or other information arising from or relating to the complimentary hosting service.

In particular, and without limiting the foregoing, **DGMentors shall not be responsible for data loss, corruption, deletion, unavailability, or failure of recovery associated with the complimentary hosting service or third-party hosting infrastructure**, except to the extent that such liability cannot legally be excluded or limited.

17. Relationship to the Maintenance Retainer

This Policy should be read together with the applicable maintenance retainer agreement, DGMentors Terms of Service, Privacy Policy, and any project-specific agreement.

The complimentary hosting benefit is intended to complement the maintenance services rather than replace them, and the scope of technical support, maintenance, updates, monitoring, development work, security services, and other assistance available to a client will depend upon the applicable maintenance retainer.

18. No Separate Hosting Guarantee

The complimentary nature of this service means that hosting is provided as an additional benefit associated with an eligible maintenance relationship and does not constitute a separately purchased hosting product unless otherwise agreed in writing.

Nothing in this Policy should be interpreted as creating an unconditional guarantee of particular hosting capacity, performance, uptime, infrastructure configuration, data preservation, backup availability, or availability beyond what DGMentors has expressly agreed to provide.

19. Policy Updates

DGMentors may periodically review and update this Policy to reflect changes in technology, cloud infrastructure, security requirements, applicable law, service offerings, operational practices, or other relevant circumstances.

When material changes are made, the “Last Updated” date will be revised accordingly.
